November 29, 2011: AMR [NYSE:AMR] filed for chapter 11 bankruptcy protection on November 29. AMR is the parent company for American Airlines, once the largest carrier on the planet, now the third largest in the US after United-Continental and Delta. The big question is what took them so long? AMR has been in death-watch mode for many quarters; why didn't they file eighteen months ago? The good news is that the company has sufficient cash to see it through reorganization; the bad news is that employees--and likely retirees--will take a hit in terms of salary and benefits. The company has among the highest costs in the industry; unlike all its legacy competitors (Southwest isn't included in this group, as it started life as a low-cost carrier), AMR has never filed for bankruptcy protection. United, Continental, Delta and US Airways have all shed costs, dumped pension plans etc. putting them in a much more competitive position. AMR must now trudge through the same process. I'd expect AMR to emerge pretty quickly; it doesn't appear to be a "pre-packaged" bankruptcy, but I hope that the company has planned in advance for this eventuality.

The run up in price is influenced mostly by the huge aquifer of liquidity created by the Fed in response to the financial crisis. The Federal Reserve Board on Sunday announced several initiatives to provide additional support to financial markets, including enhancements to its existing liquidity facilities. “In close collaboration with the Treasury and the Securities and Exchange Commission, we have been in ongoing discussions with market participants, including through the weekend, to identify potential market vulnerabilities in the wake of an unwinding of a major financial institution and to consider appropriate official sector and private sector responses,” said Federal Reserve Board Chairman Ben S. Bernanke. “The steps we are announcing today, along with significant commitments from the private sector, are intended to mitigate the potential risks and disruptions to markets.”

Insurance giant AIG [NYSE:AIG] is facing a possible ratings downgrade on Monday, which would trigger a possible liquidity crisis in the company. The downgrade could be avoided if AIG were to create a credible plan to raise $40 billion. Rumors are now circulating that there are private equity funds willing to invest in AIG; however, AIG is asking the Federal Reserve to provide a brige loan! Merrill Lynch [NYSE:MER], one of the largest consumer brokerage houses in the world, has been acquired by Bank of America [NYSE:BAC]. The deal, which is a pooling of interest, a merger, is being priced at $29 per share of $44 billion. The deal is surprising in that Merrill Lynch has been more aggressive than most in writing down non-performing assets. The stock closed at $17.05 on Friday down from it's 52-week high of $78.66.
